About Matthew Engle

Mr. Engle is an associate in the firm's Business Transactions practice group. His practice spans a variety of transactional matters, such as assisting individuals and companies with forming new business ventures; drafting governance documents such as corporate bylaws, LLC operating agreements, and buy-sell agreements; negotiating and drafting stock purchase, asset purchase, or joint venture agreements, as well as shepherding deals through closing; and assessing regulatory compliance. His practice also includes franchise law.

Mergers and Acquisitions. Mr. Engle assists companies with buying and selling businesses. He has experience negotiating and preparing stock and asset purchase agreements, joint venture agreements, non-competition agreements, confidentiality agreements, and other agreements necessary for the successful consummation of a business transaction.

Business Formation. Mr. Engle enjoys helping entrepreneurs choose and create appropriate business entities, such as corporations, limited liability companies, or partnerships. He frequently drafts or reviews articles of incorporation, bylaws, operating agreements, buy-sell agreements, and related documents or filings for his clients.

Regulatory Compliance. Mr. Engle’s experience includes helping banks and other financial institutions comply with governmental regulations, such as regulations promulgated by the Federal Reserve Board.

Franchise Agreements. Mr. Engle’s practice includes franchise law. He helps current or potential franchisors draft franchise disclosure documents and franchise agreements, and assists potential franchisees with reviewing and negotiating franchise agreements.

Mr. Engle is a member of a subcommittee of the Arizona State Bar Business Law Section that is responsible for reviewing and recommending amendments to Arizona’s LLC statutes.

Prior to his legal career, Mr. Engle spent nearly 10 years in the computer software industry, where he produced and designed several bestselling and award-winning titles for major software developers and distributors. His passion for putting deals together inspired him to pursue a legal career focusing on business transactions. Growing up in Los Angeles, Mr. Engle also has a background in the entertainment industry.

Matthew Engle is an active supporter of the arts in Phoenix and volunteers his time for several organizations that support art and music in the area, such as the Friends of European Art, which benefits the Phoenix Art Museum, and the Phoenix Symphony Young Professionals.

While in law school, Mr. Engle was a senior staff member on the Nevada Law Journal and served on the executive board of the Society of Advocates moot court team. He received CALI Awards for the highest grade in his Legal Writing, Cyberlaw, and Pretrial Advocacy courses. Mr. Engle was recently recognized for his commitment to pro bono service at the firm's John P. Frank Pro Bono Awards Luncheon.

Prior to joining Lewis and Roca, Mr. Engle was an extern for Judge James C. Mahan of the United States District Court for the District of Nevada, and worked at the law firm of Barron & Pruitt, LLP on a variety of civil litigation matters.
