The Corporate and Securities Law Group provides a wide range of services on behalf of private and public corporations in Arizona and elsewhere. The bulk of our corporate work is transactional, including: securities (private and public offerings); corporate structuring and transactions; mergers, acquisitions and reorganizations; partnership structuring and restructuring; and public finance, including bond counsel and issuer's counsel representation. This area of practice also includes compliance with federal securities laws and state blue sky laws affecting the issuance of securities, as well as compliance with federal laws regulating the issuance of securities by investment companies, the registration and regulation of investment advisors, the registration and regulation of broker dealers and compliance with the Trust Indenture Act of 1939.

- Representation of biotechnology company in connection with its acquisition of assets and intellectual property and private placement of equity;
- Engaged as both bond counsel and company counsel in connection with the issuance and sale of $44,000,000 in aggregate principal amount of variable rate revenue bonds, the proceeds of which are being used to finance a significant portion of the new arena for a National Basketball Association franchise;
- Representation of a major Arizona consumer electronics manufacturer in connection with venture capital and bank financing totaling approximately $20,000,000;
- Representation of an English public limited company in connection with the sale of its Arizona manufacturing operations to a local management group;
- Representation of the management of a major Arizona manufacturing concern ($60 million in revenues and over 1,000 employees) in connection with the purchase of the operation from its parent company, a Fortune 500 company;
- Representation of a limited partnership in connection with its formation, its securities offering to obtain investors, and its purchase of a National Basketball Association franchise, including the financing for that purchase;
- Registration of equity securities for a major commuter airline;
- Served as company counsel to a major hospital and health care system in connection with the issuance of over $1.7 billion aggregate principal amount of tax-exempt revenue bonds;
- Served as underwriter's counsel in connection with the issuance of a series of unrated general obligation bonds for a municipality in which a major power company and certain of its wholly-owned subsidiaries were the major taxpayers; and
- Representation of a national banking association in its role as bond trustee in connection with workouts of defaulted bond financings for high profile projects in various states.
